Terms of Service

1. Parties

These terms are an agreement between you and Usonian Studios LLC, an Illinois limited liability company (“Usonian Studios,” “we,” “us”). “Songboxer” refers to the service available at songboxer.com and its related applications.

2. Acceptance and changes

By creating an account or using Songboxer you agree to these terms and to our Privacy Policy. We may update these terms; if a change is material we’ll notify account holders by email before it takes effect. Continuing to use the service after a change takes effect means you accept the updated terms.

3. Your account

You must be at least 13 years old (16 where local law sets a higher floor) and provide accurate account information. You’re responsible for your password and for activity on your account. One person per account — don’t share credentials.

4. Acceptable use

When using Songboxer, you agree not to:

• harass, threaten, or defraud other users;
• post content that is illegal, infringing, or that you don’t have the right to share;
• scrape, crawl, or bulk-export other users’ data, or probe or disrupt the service;
• misrepresent yourself, your band, or your venue;
• use the service to send spam or unsolicited promotion.

5. Your content

You own the content you put into Songboxer — your songs, setlists, profiles, photos, and messages. You grant us a non-exclusive, worldwide license to host, display, and transmit that content solely to operate and improve the service (for example, showing your public band profile to a venue, or delivering your message to its recipient). The license ends when the content is deleted, except for short-lived backups.

6. Songboxer’s role

Songboxer helps bands and venues find each other and coordinate. We are not a party to any booking, performance agreement, or payment between users. We don’t vet, guarantee, or insure any user, gig, fee, or venue. Bookings arranged through Songboxer are agreements between the band and the venue alone.

7. Subscriptions and billing

Personal accounts are free. Creating and administering a band requires a paid subscription, billed through Stripe on a monthly or annual cycle. You can cancel anytime from Settings; your plan stays active through the end of the paid period. Except where required by law, payments are non-refundable.

8. Termination

You can delete your account at any time (see the Privacy Policy for how). We may suspend or terminate accounts that violate these terms, abuse other users, or create risk for the service — with notice where practical. Sections 5 (license during backups), 9, 10, and 11 survive termination.

9. Disclaimers and limitation of liability

Songboxer is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Usonian Studios will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising out of the service is limited to the greater of $100 or the amount you paid us in the twelve months before the claim. Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Usonian Studios from claims arising out of your content, your use of the service in violation of these terms, or your dealings with other users — including bookings and performances arranged through Songboxer.

11. Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute that can’t be resolved informally will be brought exclusively in the state courts of Cook County, Illinois, or the federal district court covering Usonian Studios’ principal place of business, and you consent to personal jurisdiction there.

12. Miscellaneous

If a provision of these terms is found unenforceable, the rest remain in effect. These terms and the Privacy Policy are the entire agreement between you and Usonian Studios about the service. Questions about these terms: support@songboxer.com.
